These Terms of Service (“Terms”) govern your access to and use of www.tessive.com (the “Site”), operated by Tessive LLC (“Tessive,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. The Site

The Site provides information about Tessive, including historical products such as Time Shaper and Time Filter, consulting services, and related materials. Content is provided for general informational purposes and may not always reflect current product availability.

Time Shaper is now offered as RealD TrueMotion. Downloads, licensing, and support for that software are provided by RealD or its successors under their own terms, not these Terms.

2. Eligibility

You must be at least 13 years old to use the Site. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

The Site and its contents — including text, images, graphics, logos, software descriptions, and design — are owned by Tessive or our licensors and are protected by intellectual property laws. Tessive, Time Shaper, Time Filter, and related marks are trademarks or trade names of Tessive LLC or their respective owners.

You may view and print materials from the Site for personal, non-commercial use. You may not copy, modify, distribute, sell, or create derivative works from Site content without our prior written permission, except as permitted by law.

5. Third-party links and services

The Site may link to third-party websites, downloads, or services, including RealD and Vimeo. We do not control those services and are not responsible for their content, terms, privacy practices, or availability. Your use of them is at your own risk and subject to their terms.

6. Consulting and other services

Any consulting or professional services are provided only under a separate written agreement. Nothing on the Site is an offer to enter into such an agreement, and Site content is not professional advice.

7. Disclaimer of warranties

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, TESSIVE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT CONTENT IS ACCURATE OR COMPLETE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TESSIVE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

9. Indemnification

You agree to indemnify and hold harmless Tessive and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Site or your violation of these Terms.

10. Changes to the Site or Terms

We may change, suspend, or discontinue the Site at any time. We may also update these Terms. The “Last updated” date will change when we do. Continued use after an update means you accept the revised Terms.

11. Termination

We may suspend or terminate your access to the Site at any time, including if we believe you have violated these Terms. Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive termination.

12. Governing law

These Terms are governed by the laws of the State of New Mexico, without regard to conflict-of-law rules. You agree that exclusive jurisdiction for any dispute arising out of these Terms or the Site lies in the state or federal courts located in New Mexico, unless applicable law requires otherwise.

13. Miscellaneous

These Terms, together with our Privacy Policy, are the entire agreement between you and Tessive regarding the Site. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
